Ecopetrol has announced that its General Shareholders’ Meeting approved the merger by absorption with its subsidiary, Parque Solar Portón del Sol SAS. This transaction strengthens Ecopetrol’s energy transition strategy and consolidates the company’s renewable energy portfolio, supporting its long-term objectives in clean energy development. A merger by absorption is a legal process in which a parent company incorporates a subsidiary, integrating its assets, operations, rights, and obligations into a single entity. In this case, Ecopetrol has absorbed Parque Solar Portón del Sol SAS, bringing the solar park’s operations directly under the parent company’s management.
The Portón del Sol Solar Park is now fully integrated into Ecopetrol’s group of companies in Colombia, which also includes operations under the Statkraft group. This merger strengthens Ecopetrol’s presence in the clean energy sector, particularly in the development, construction, and operation of solar energy projects. The solar park, located in the department of Caldas, has an installed capacity of 128 megawatts (MW) and is fully operational. By incorporating this asset, Ecopetrol enhances its renewable energy capabilities while supporting Colombia’s broader energy transition goals.
The merger is expected to bring several benefits to Ecopetrol, including improved administrative efficiency, tax and financial incentives, and optimized operational management of renewable energy assets. It also enables a more agile and integrated approach to managing the company’s renewable generation portfolio. This aligns with Ecopetrol’s strategic objective of leading the energy transition in Colombia while adhering to principles of efficiency, sustainability, and transparency.
