Voltalia Announces Proposed €120 Million IFC Investment to Support Solar and BESS Expansion

Voltalia has reached substantial agreement with the International Finance Corporation (IFC), a member of the World Bank Group, for a proposed investment of up to €120 million in preferred shares of its subsidiary, Voltalia Management International B.V. The transaction is subject to approval by Voltalia shareholders and final approval from the IFC.

The proposed long-term capital investment is intended to support Voltalia’s growth strategy and the construction of new renewable energy assets. The investment would be deployed in two tranches, comprising an initial €75 million followed by up to €45 million, with the actual amount and timing of drawdowns dependent on the Group’s funding requirements and business performance.

The proceeds would be allocated exclusively to projects meeting eligibility criteria agreed with the IFC, with a particular focus on photovoltaic solar and battery energy storage systems (BESS) planned for construction and operation during 2026–2028. The investment is also expected to diversify Voltalia’s funding sources and strengthen its capacity to finance renewable energy development while maintaining a balanced financial structure.

The preferred shares would carry a base remuneration of 6.5%, with potential upward adjustments from the fifth and seventh anniversaries of the signing and an additional adjustment linked to sustainability performance targets. The instrument would also include defined redemption rights and a conversion mechanism allowing the preferred shares to be converted into new ordinary Voltalia shares under specified circumstances.

The transaction requires shareholder approval at Voltalia’s General Meeting scheduled for September 17, 2026, alongside final IFC approval. Subject to these approvals, the investment would strengthen the partnership between Voltalia and the IFC and provide additional long-term capital for the Group’s renewable energy expansion.

Voltalia currently has 3.6 GW of renewable energy capacity in operation and under construction, with a further 12 GW project pipeline under development across wind, solar, hydro, biomass and energy storage.
