Sterling and Wilson Renewable Energy Allots 9,671 Equity Shares Under ESOP Plan I

Sterling and Wilson Renewable Energy Limited (SWREL) has allotted 9,671 equity shares pursuant to the exercise of employee stock options under its Employee Stock Option Plan I (SWREL ESOP Plan I). The allotment was approved by the company’s Nomination and Remuneration Committee through a circular resolution passed on July 1, 2026.

According to the regulatory filing, the equity shares, each with a face value of Re. 1, were allotted to eligible option grantees at an exercise price of ₹238 per share following the vesting of stock options under the company’s ESOP scheme.

Following the allotment, Sterling and Wilson Renewable Energy’s paid-up equity share capital increased from ₹23,35,31,720, comprising 23,35,31,720 equity shares, to ₹23,35,41,391, comprising 23,35,41,391 equity shares. The newly allotted shares will rank pari passu with the company’s existing equity shares in all respects.

The company stated that the allotment was carried out in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read together with Regulation 10(c) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.

As disclosed in the filing, the shares have been issued under the Sterling and Wilson Renewable Energy Limited – Employee Stock Option Plan I, which was originally filed with the stock exchanges in June 2022. The equity shares carry an ISIN of INE00M201021 and do not have any lock-in restrictions.

Sterling and Wilson Renewable Energy has also confirmed that the disclosure and related details under the SEBI SBEB Regulations will be made available on its corporate website.
