Solex Energy Subsidiary Approves INR 150 Crore Convertible Debenture Issue

Solex Energy Limited has announced that its wholly owned subsidiary, Solex New Energy Private Limited, has approved a fundraising proposal worth ₹150 crore through the issuance of compulsorily convertible debentures (CCDs). The decision was taken at a meeting of the subsidiary’s board of directors held on October 19, 2026.

Under the approved proposal, the subsidiary will issue compulsorily convertible debentures in one or more tranches, subject to the applicable terms and conditions. The fundraising initiative is intended to provide the company with additional financial resources to support its business objectives and future growth plans.

The proposed debentures will include an option for investors to convert their investments into equity shares of the parent company, Solex Energy Limited. The conversion will be subject to compliance with applicable laws, rules and regulations, along with the necessary approvals from the board of directors of Solex Energy Limited.

Compulsorily convertible debentures are financial instruments that can be converted into equity shares under specified conditions. Such instruments can help companies raise funds while providing investors with a potential opportunity to participate in the equity of a business. For Solex Energy, the proposed arrangement represents a fundraising route that could strengthen its financial resources and support its broader corporate objectives.

The approval has been granted at the subsidiary level, and the proposed issuance and conversion arrangements will require the completion of the relevant statutory and regulatory formalities. The company has indicated that the conversion process will proceed in accordance with the applicable legal framework and the necessary corporate approvals.

The corporate development was formally communicated by Azmin Chiniwala, Company Secretary and Compliance Officer of Solex Energy Limited. The disclosure provides details of the subsidiary’s board decision and the proposed structure of the fundraising initiative.

The ₹150 crore fundraising plan marks a significant corporate development for the Solex Energy group as it explores additional funding avenues. However, the final implementation of the proposal will depend on the completion of the required procedures and approvals. The company has not provided further details in the supplied announcement regarding the proposed issue schedule, investor identity or the specific conversion terms.
