Kajaria Ceramics to Invest Up to INR 12.15 Crore in Sunsure Solar Project for Captive Power

Kajaria Ceramics Limited has entered into a Shareholders’ Agreement with Sunsure Solarpark Fourty Three Private Limited and its promoter, Sunsure Energy Private Limited, to support the sourcing of renewable power for captive consumption at its manufacturing facilities in Rajasthan.

Under the agreement signed on September 2, 2026, Kajaria Ceramics will invest up to ₹12.15 crore in equity shares of Sunsure Solarpark Fourty Three Private Limited. The investment will be made in tranches, according to the company’s regulatory disclosure to the BSE Limited and National Stock Exchange of India Limited.

The investment is aimed at enabling Kajaria Ceramics to source solar and wind power for captive consumption at its manufacturing plants located in Gailpur and Malootana, Rajasthan. The arrangement is expected to help the company reduce power costs while increasing the use of renewable energy in its manufacturing operations.

The proposed captive power arrangement will be implemented in compliance with the provisions of the Electricity Act and related regulations.

Agreement and Ownership Structure

The Shareholders’ Agreement has been entered into between Kajaria Ceramics, Sunsure Energy Private Limited and Sunsure Solarpark Fourty Three Private Limited. Kajaria had no existing shareholding in Sunsure Solarpark Fourty Three prior to execution of the agreement.

Under the agreed governance structure, Sunsure Solarpark Fourty Three will be managed by its own Board of Directors. However, the appointment and removal of directors and key managerial personnel, including the CEO, CFO and Chairman, will remain with Sunsure Energy, the promoter.

The agreement will remain valid for as long as the Power Purchase Agreement (PPA) between Kajaria Ceramics and Sunsure remains in force.

No Related Party Transaction

Kajaria Ceramics stated that the parties involved in the transaction are not related to the company’s promoter or promoter group entities. Accordingly, the investment does not constitute a Related Party Transaction.

The company also reported that there is no board representation arising from the transaction and no potential conflict of interest has been identified.

The investment marks Kajaria Ceramics’ move to strengthen renewable power sourcing for its Rajasthan manufacturing operations while seeking to improve energy cost efficiency and increase the use of cleaner power.
