Tata Power Plans To Raise INR1500 Crore Through Five-Year Non-Convertible Debentures Issue

Tata Power has announced its plan to raise ₹1,500 crore through the issuance of Non-Convertible Debentures (NCDs). The company disclosed the fundraising proposal on July 5, 2026, in compliance with regulatory requirements. The proceeds will be raised through a private placement of 1,50,000 NCDs, each having a face value of ₹1,00,000, and will be offered to eligible investors.

The proposed NCDs will be unsecured, senior, redeemable, rated, listed, taxable, and non-cumulative in nature. The company intends to complete the allotment of these debt instruments on July 14, 2026, subject to the necessary approvals and completion of the issuance process. The debentures will have a tenure of five years and will be redeemed through a bullet repayment at the end of the term.

The interest rate on the NCDs will be determined through price bidding conducted on an Electronic Bidding Platform. Depending on the outcome of the bidding process, the allotment may take place on either a uniform yield or a multiple yield basis. Investors will receive interest payments annually during the tenure of the debentures, while the final interest payment will be made along with the repayment of the principal amount at maturity.

Tata Power clarified that the NCDs will be completely unsecured, which means no charge or security interest will be created over any of the company’s assets for this borrowing.

The company also highlighted its strong credit profile, with the proposed issuance backed by a credit rating of “AA+/Stable” from India Ratings and Research Private Limited and CRISIL Ratings Limited. These ratings reflect the agencies’ assessment of the company’s ability to meet its financial obligations.

The official communication regarding the fundraising plan was signed by the Company Secretary, confirming the details of the proposed NCD issuance and its key terms.
