Clean Max To Acquire 100% Stake In Thailand’s Massmunch Company For THB 1.25 Million

Clean Max Enviro Energy Solutions Limited has announced that its overseas subsidiaries have entered into a share purchase agreement to acquire 100% of the share capital of Massmunch Company Limited in Thailand. The agreement was signed on October 9, 2026, as part of the company’s strategy to expand its renewable energy business and develop additional solar power capacity in the Thai market.

The acquisition will be executed through Cleanmax Energy (Thailand) Company Limited and Cleanmax IHQ (Thailand) Company Limited. Both entities are wholly owned subsidiaries of Cleanmax Solar MENA FZCO, based in Dubai, which operates as a step-down subsidiary of Clean Max Enviro Energy Solutions Limited.

Following the completion of the transaction, Cleanmax Energy (Thailand) Company Limited will hold 99.99% of Massmunch Company Limited’s share capital, while Cleanmax IHQ (Thailand) Company Limited will own the remaining 0.01%. As a result, Massmunch Company Limited will become a step-down wholly owned subsidiary of Clean Max Enviro Energy Solutions Limited.

Massmunch Company Limited was incorporated in Thailand on March 27, 2025, and operates in the renewable energy generation sector. Through this acquisition, Clean Max aims to strengthen its presence in Thailand and create opportunities to expand its solar renewable energy capacity in the country. The transaction will provide the company with an additional corporate entity through which it can pursue its renewable energy development plans in the Southeast Asian market.

The total enterprise value of the transaction is Thai Baht 1,250,000, which will be paid entirely through cash consideration. According to the disclosed financial information, Massmunch Company Limited had a net worth of Thai Baht 1,213,300 as of December 31, 2025. The company reported nil turnover for the period.

Clean Max stated that the proposed acquisition does not constitute a related-party transaction. Furthermore, the deal does not require any governmental or regulatory approvals, simplifying the process for completing the transaction.

The acquisition is expected to be completed by October 31, 2026. Once finalised, the transaction will add Massmunch Company Limited to Clean Max’s overseas subsidiary structure and support its efforts to develop renewable energy opportunities beyond India.

The move reflects the company’s continued focus on international expansion, particularly in markets where solar energy development can support growing demand for cleaner electricity and contribute to broader energy transition objectives.
