Oriana Power Invests INR 2.10 Crore In Wholly Owned Subsidiary For Solar Project Development

Oriana Power Limited has announced an investment of Rs. 2.10 crore in its wholly owned subsidiary, Sunpulse Power Private Limited, to support the development of a solar power project. The decision was approved by the company’s Operations Committee on August 4, 2026, following a Rights Issue Offer Letter issued by Sunpulse Power.

As part of the rights issue, Oriana Power will subscribe to 21,00,000 equity shares with a face value of Rs. 10 each. The investment will be made entirely through cash consideration. According to the company, the funds will be used to strengthen Sunpulse Power’s financial position and facilitate the ongoing development of its solar power plant. The transaction is expected to be completed within 30 days.

Before the rights issue, Oriana Power held 10,000 equity shares in Sunpulse Power, representing 100% ownership of the subsidiary. After subscribing to the additional shares, its total holding will increase to 21,10,000 equity shares. Although the number of shares held by the parent company will increase significantly, its ownership percentage will remain unchanged at 100%, as Sunpulse Power will continue to be a wholly owned subsidiary.

The company stated that the investment qualifies as a Related Party Transaction because Sunpulse Power is its wholly owned subsidiary. However, it clarified that the transaction has been carried out on an arm’s length basis and is in the ordinary course of business. Oriana Power also confirmed that no promoters or members of the promoter group have any direct interest in the subsidiary beyond the company’s ownership. In addition, no approvals from any government or regulatory authority are required for completing the investment.

Sunpulse Power Private Limited was incorporated on July 27, 2025, and operates in the renewable energy sector. Its business activities include the generation, distribution, and sale of electricity, along with the development of solar power projects across India.

For the financial year 2025-26, Sunpulse Power reported no revenue from operations. The company recorded a net loss of Rs. 0.63 lakh and had a net worth of Rs. 0.37 lakh during the period. Oriana Power disclosed the investment through a regulatory filing made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, highlighting the capital infusion as part of its strategy to advance renewable energy project development through its subsidiary.
