Solar Industries India Limited has announced a major international expansion through an agreement to acquire 100% of the issued ordinary shares of Omnia Holdings Limited, excluding treasury shares. The binding agreement was signed on September 14, 2026, through Solar SA Investments Proprietary Limited, a wholly owned step-down subsidiary, together with Solar Overseas Mauritius Limited.
The transaction values Omnia Holdings at approximately $1.355 billion and has been structured at ZAR 134.5 per share in cash. Based in Johannesburg, South Africa, Omnia Holdings was established in 1953 and operates across the chemicals, mining, and agriculture sectors. The company serves customers in more than 40 countries through 23 physical locations and employs over 3,500 people.
Omnia’s mining business, BME, has an established presence in blasting systems, commercial explosives, and mining chemicals. The acquisition is expected to strengthen Solar Industries’ international operations and support the creation of a unified global platform for commercial explosives and blasting solutions.
Omnia Holdings has reported consistent revenue growth over the past three financial years. Its annual revenue stood at $1.18 billion in FY2023-24, increased to $1.25 billion in FY2024-25 and reached $1.41 billion in FY2025-26.
Solar Industries said the proposed acquisition will expand its geographical reach, strengthen its technological capabilities and diversify its product portfolio. The transaction is also expected to provide access to Omnia’s established international customer base and operational capabilities.
The company clarified that its promoters have no interest in Omnia Holdings and that the transaction does not constitute a related-party transaction.
Completion of the acquisition is expected between early and mid-2027, subject to regulatory, statutory and competition approvals. Following completion, Omnia Holdings is expected to be delisted from the Johannesburg Stock Exchange and A2X Markets securities exchange.
